Welcome to AceDrafts. These Terms of Service ("Terms") govern your access to and use of the AceDrafts website and services (collectively, the "Service"). AceDrafts is operated by a sole proprietorship based in the United States.

Please read these Terms carefully before using the Service. By accessing or using AceDrafts, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account or using AceDrafts, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and AceDrafts.

2. Eligibility

To use AceDrafts, you must:

  • Be at least 18 years old
  • Be using the Service for business or commercial purposes (not personal, consumer use)
  • Have the legal authority to enter into these Terms on behalf of yourself or your business
  • Be located in the United States

If you do not meet these eligibility requirements, you may not use the Service.

3. Account Registration

To access certain features of the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your account information as needed
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account. AceDrafts is not liable for any loss or damage resulting from your failure to maintain account security.

4. Free Trial & Subscriptions

Free Trial

AceDrafts may offer a free, time-limited trial of the Service. During the trial period, you will have access to specified features at no cost. When the trial expires, you must subscribe to a paid plan to continue using the Service.

Paid Subscriptions

After your trial (or if you choose not to use the trial), access to AceDrafts requires a paid subscription. Key terms:

  • Billing: Subscriptions are billed through Stripe, our third-party payment processor. By subscribing, you authorize AceDrafts to charge your payment method on the billing cycle you select.
  • Subscription Changes: AceDrafts reserves the right to modify subscription pricing at any time. Price changes will apply at the start of your next billing cycle. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.
  • Refunds: AceDrafts does not offer refunds for partial subscription periods. If you cancel, your subscription will remain active until the end of the current billing period.
  • Taxes: Subscription fees do not include applicable taxes. You are responsible for paying all taxes associated with your subscription.

5. Acceptable Use

You agree to use AceDrafts only in accordance with these Terms and applicable laws. You may not:

  • Use the Service for any illegal purpose or in violation of any applicable law
  • Upload content that infringes on someone else's intellectual property rights
  • Upload audio recordings without obtaining proper consent from all recorded parties
  • Attempt to access, tamper with, or disable any security features of the Service
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service to send spam or unsolicited communications
  • Share your account credentials with others or allow multiple users to access a single account
  • Use the Service in a way that interferes with or disrupts the Service or other users

AceDrafts reserves the right to investigate and take appropriate action against users who violate these restrictions, including suspending or terminating accounts.

6. AI-Generated Content Disclaimer

Important: AceDrafts uses artificial intelligence (AI) to generate Statement of Work (SOW) documents.

You acknowledge and agree that:

  • AI output is not guaranteed to be accurate: AI-generated content may contain errors, omissions, or inaccuracies. You are solely responsible for reviewing, editing, and verifying all SOW documents before using them.
  • Not legal advice: AceDrafts is not a law firm, and the Service does not provide legal advice. SOW documents generated by AceDrafts are drafts intended for business use. For complex engagements or legal questions, consult a qualified attorney.
  • No professional liability: AceDrafts does not assume responsibility for how you use AI-generated SOW documents. You are solely responsible for the content you send to your clients.
  • AI limitations: AI systems can produce unexpected or incorrect output. Always review AI-generated content critically before relying on it.

7. User Responsibilities: Third-Party Consent

You are solely responsible for obtaining consent before uploading call recordings.

When you use AceDrafts to transcribe discovery calls, you may upload audio recordings that contain voices and personal information from your clients or other third parties. By using the Service, you represent and warrant that:

  • You have obtained consent from all parties recorded before uploading the audio to AceDrafts
  • You have the legal right to record, transmit, and process the audio content
  • Your use of the Service complies with all applicable call recording and privacy laws

AceDrafts does not verify whether you have obtained proper consent. You are solely responsible for any claims arising from your upload of third-party audio content. AceDrafts disclaims all liability related to your failure to obtain appropriate consent.

8. Intellectual Property

AceDrafts Ownership

AceDrafts retains all rights, title, and interest in and to:

  • The AceDrafts platform, including its software, design, and functionality
  • AI prompts, workflows, and infrastructure used to generate SOW documents
  • Trademarks, logos, and branding associated with AceDrafts

Nothing in these Terms transfers ownership of AceDrafts intellectual property to you.

Your Ownership

You retain all rights, title, and interest in and to:

  • Your input data (call recordings, transcripts, notes, and other content you upload)
  • SOW documents and other outputs generated by the Service based on your input

AceDrafts does not claim ownership of your data or generated documents.

Aggregated Data

AceDrafts may collect and use anonymized, aggregated usage data (data that cannot identify you personally) to improve the Service, develop new features, and analyze usage patterns. This aggregated data is owned by AceDrafts and may be used or shared at our discretion.

9. Termination

By You: You may stop using the Service at any time. To cancel your subscription, follow the cancellation process in your account settings or contact us at legal@acedrafts.com.

By AceDrafts: AceDrafts may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination may include:

  • Violation of these Terms
  • Fraudulent or abusive use of the Service
  • Failure to pay subscription fees
  • Conduct that harms AceDrafts or other users

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.

10. Service Modifications and Availability

AceDrafts is provided on an "as is" and "as available" basis. You acknowledge that:

  • No SLA: AceDrafts does not guarantee any specific service level, uptime, or availability. The Service may experience interruptions, delays, or outages.
  • Modifications: AceDrafts may modify, update, or discontinue features of the Service at any time without notice.
  • No guarantees: We do not guarantee that the Service will be uninterrupted, secure, or error-free.

11. Limitation of Liability

Disclaimer of Warranties: The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. AceDrafts disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy, completeness, or reliability of AI-generated content

Limitation of Damages: To the maximum extent permitted by law, AceDrafts shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or corruption of data
  • Business interruption or downtime
  • Claims by your clients or third parties arising from your use of AI-generated SOW documents
  • Claims arising from your failure to obtain proper consent for call recordings

Cap on Liability: AceDrafts total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid to AceDrafts in the twelve (12) months preceding the claim, or $100 if you have not paid anything.

Essential Basis: The limitations and exclusions of liability in this section are an essential basis of the bargain between you and AceDrafts. Without these limitations, AceDrafts would not be able to provide the Service at its current pricing.

12. Indemnification

You agree to indemnify, defend, and hold harmless AceDrafts and its operators from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of:

  • Your use of the Service
  • Your violation of these Terms
  • Your upload of content that infringes third-party rights
  • Your failure to obtain proper consent for call recordings
  • Your use of AI-generated SOW documents with your clients

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in California.

14. Changes to Terms

AceDrafts may modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of these Terms. We may notify you of material changes via email or through a prominent notice on the Service, but we are not required to do so.

Your continued use of the Service after changes to these Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and AceDrafts regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of those rights or provisions.

Assignment: You may not assign or transfer your rights under these Terms. AceDrafts may assign its rights without restriction.

Relationship of Parties: Nothing in these Terms creates a partnership, joint venture, or employment relationship between you and AceDrafts.
